(hereinafter, “Bricktech” or “we”) and the real estate agencies, professionals or companies that subscribe to and use the Bricktech CRM platform (hereinafter, the “Platform”) as clients (hereinafter, the “Client” or the “Clients”); and (iii) the conditions of use applicable to the natural persons who interact with the conversational agent “Sofía” through WhatsApp or other channels enabled by a Client (hereinafter, the “Contact” or the “Contacts”).
The identification details of BRICKTECH LABS, S.L.U. as owner of the Website and of the Platform are set out in the Legal Notice published on the Website, which is deemed incorporated into these Terms by reference.
These Terms are structured in three blocks: (A) provisions common to all users; (B) specific conditions for Clients (professional B2B use of the Platform); and (C) specific conditions for Contacts (persons who interact with Sofía); followed by (D) a final block of common provisions.

- Bricktech may establish strong authentication mechanisms and password security policies, compliance with which is the Client’s responsibility.

Block B · Specific conditions for Clients (professional use of the Platform)
5. License of use
Bricktech grants the Client, during the term of the subscription and subject to payment of the corresponding fees, a non-exclusive, non-transferable, non-assignable and revocable license to use the Platform, limited to the number of Authorized Users subscribed, for internal use in the course of the Client’s professional activity. This license does not include the assignment of any intellectual or industrial property right in Bricktech’s software, algorithms or AI models.
It is prohibited to: (i) sublicense, sell, rent or assign access to the Platform to unauthorized third parties; (ii) reverse engineer, decompile or attempt to extract the source code or the underlying AI models; (iii) use the Platform to develop a competing product or service; and (iv) use the Platform in a manner that may damage, overload or compromise its security or availability.
6. Term, renewal and cancellation
- The subscription shall have the agreed term (generally, monthly) and shall renew automatically for successive periods of equal duration, unless the Client requests cancellation with the notice indicated on the Platform or by notification to the email address designated for cancellation.
- The Client may cancel its Account at any time from the Platform itself or by notice to Bricktech, with effect at the end of the current billing period, without the right to a refund of amounts already paid for that period, unless applicable law provides otherwise.
- Bricktech may terminate the contract and suspend or cancel the Client’s Account, with prior notice where reasonably possible, in the event of a serious breach of these Terms, repeated non-payment, fraudulent or unlawful use of the Platform, or a risk to the security of other users or of the Platform itself.
7. Client obligations
The Client undertakes to:
- Use the Platform in accordance with applicable law, these Terms, good faith and public order.
- Ensure that it has a legitimate basis to enter the personal data of Contacts (leads, prospective clients) into the Platform and for such data to be processed by Sofía and by Bricktech Intelligence in accordance with applicable data protection law.
- Properly inform its Contacts of the use of an artificial intelligence conversational agent and, where applicable, of the existence of automated scoring or decision-making processes, on the terms required by applicable law, including Article 22 of the GDPR (Regulation (EU) 2016/679) where applicable.
- Not use the Platform or the integrated WhatsApp channel to send unsolicited commercial communications (spam) or for purposes contrary to Law 34/2002 (LSSI-CE), to data protection law or to the commercial policies of Meta/WhatsApp Business Platform.
- Not enter into the Platform data belonging to special categories of data (Article 9 GDPR) unless strictly necessary and a specific legal basis exists for doing so.
- Keep its credentials confidential and report any security incidents it detects.
7a. Integrations with third-party services
The Platform allows third-party services to be connected, such as Google Calendar or the agency’s Meta accounts (WhatsApp, Facebook and Instagram). Each connection is voluntary, is expressly authorized by the holder of the corresponding account and may be revoked at any time from the Platform or from the third party’s own service.
- The connection with Google Calendar is individual to each Authorized User, who makes it with their own Google account. Bricktech only reads from and writes to their primary calendar what is necessary for the features described in section 7a of the Privacy Policy, and processes that data in accordance with the Google API Services User Data Policy, including the Limited Use requirements.
- The use of each third-party service is further governed by its own terms (in the case of Google, the Google Terms of Service). Bricktech does not control the availability of or changes to those services and is not liable for interruptions or limitations originating in them.
- When an integration is disconnected, Bricktech stops accessing the third party’s service. Items that the Platform has created in it at the user’s request, such as visit events in their calendar, remain under that user’s control.
8. Artificial intelligence: Sofía and Bricktech Intelligence — Nature and limits
- Sofía is a conversational artificial intelligence system. Its responses are generated by language models and business rules, and may contain errors, inaccuracies or unintended interpretations. The Client acknowledges and accepts this probabilistic nature of the technology.
- The score assigned by Bricktech Intelligence (0 to 100) is an indicative estimate of a Contact’s purchase intent based on conversational and behavioral criteria, and in no case constitutes commercial, legal or financial advice, nor a guarantee of conversion or of closing a transaction. The final decision on the commercial handling of each lead always rests with the Client and its human team.
- The Client is responsible for reasonably supervising the operation of Sofía and of the scoring tool, and for not delegating to them decisions which, under applicable law (in particular Article 22 GDPR if applicable to the specific case), must be subject to meaningful human intervention where they produce relevant legal effects or significantly affect a Contact.
- Bricktech may update, retrain or modify the AI models underlying Sofía and Bricktech Intelligence in order to improve their accuracy and performance, without this giving the Client any right to compensation, provided it does not entail a substantial alteration of the essential features subscribed to.
9. Personal data protection in the relationship with the Client
Bricktech, as controller with respect to the data of the Client’s own Authorized Users (account, billing and Platform usage data), shall process such data in accordance with the Privacy Policy published on the Website.
Processing of the data of Contacts (leads) entered by the Client into the Platform. As a general rule, and unless expressly agreed otherwise, Bricktech acts as processor with respect to the personal data of the Contacts that the Client enters, receives or generates through the Platform (including the conversations handled by Sofía and the Bricktech Intelligence scores), the Client being the controller of such data under Article 4(7) of the GDPR, as it is the party that determines the essential purposes and means of the processing of its leads and clients.
The parties may enter into a specific Data Processing Agreement (DPA) under Article 28 of the GDPR, which shall detail the subject matter, duration, nature and purpose of the processing, the types of personal data and categories of data subjects, and the obligations and rights of the Client as controller and of Bricktech as processor, including, among others, the following guarantees on Bricktech’s part:
- To process the personal data of Contacts only on the Client’s documented instructions and for the purposes inherent to the provision of the service.
- To implement appropriate technical and organizational measures in accordance with Article 32 GDPR.
- To ensure the duty of confidentiality of the persons authorized to process the data.
- To assist the Client in responding to data subjects’ rights and in complying with its obligations (including impact assessments, where applicable).
- To notify without undue delay any personal data breach of which it becomes aware.
- Not to subcontract the processing without the Client’s authorization, except for sub-processors already identified and accepted (e.g., providers of cloud infrastructure, of WhatsApp Business Platform messaging or of underlying AI models), in respect of which Bricktech shall be answerable to the Client for compliance with those sub-processors’ obligations.
- To delete or return the personal data at the end of the provision of the service, as agreed, unless there is a legal obligation to retain it.
To the extent that Bricktech uses data from interactions with Sofía in aggregated, anonymized or pseudonymized form for the purpose of improving, training or generally evaluating its artificial intelligence models, without this allowing specific Contacts or Clients to be identified, such processing shall be deemed carried out by Bricktech as an independent controller for that specific purpose of technological improvement, on the terms detailed in the DPA or in the Privacy Policy.
10. Service availability and support
- Bricktech shall use its best efforts to ensure the continued availability of the Platform, although one hundred percent (100%) availability cannot be guaranteed, and there may be scheduled interruptions (maintenance) or unscheduled ones (technical incidents, force majeure, unavailability of third-party services such as WhatsApp Business Platform or cloud infrastructure providers).
- Bricktech shall provide support and technical assistance services on the terms, through the channels and during the hours indicated on the Platform or in the corresponding subscription.
- If a specific Service Level Agreement (SLA) is agreed, it shall prevail over this clause to the extent of any conflict.
11. Limitation of liability towards the Client
- Bricktech shall be liable to the Client for direct damages that are the direct and immediate consequence of a willful or grossly negligent breach of its contractual obligations, within the limits permitted by applicable law.
- Except in cases of willful misconduct or gross negligence attributable to Bricktech, and to the maximum extent permitted by law, Bricktech’s total liability to the Client for any damages arising from the provision of the service shall not exceed the amount actually paid by the Client in subscription fees during the six (6) months preceding the event giving rise to the claim. Bricktech shall in no case be liable for indirect damages, loss of profit, loss of business opportunities, loss of clientele or real estate transactions not closed.
- Bricktech shall not be liable for commercial decisions made by the Client on the basis of Bricktech Intelligence scores or of conversations handled by Sofía, nor for the content, responses or conversations generated by Sofía to the extent that they have been conditioned by the information, instructions or configuration provided by the Client itself.
- Bricktech shall not be liable for the truthfulness, accuracy or lawfulness of the Client Content entered into the Platform, nor for the Contact data provided by the Client, the Client being fully liable to Bricktech and to third parties for such content and for the legal basis for its processing.
- Nothing in these Terms limits or excludes Bricktech’s liability in those cases in which Spanish law does not permit its limitation or exclusion (e.g., willful misconduct).
12. Confidentiality
Both parties undertake to keep confidential all information of a confidential nature to which they have access in connection with the contractual relationship (including, among other things, commercial and technical information, Contact data and financial terms), and may not use it for purposes other than those provided for in these Terms or disclose it to third parties without the prior written consent of the other party, except where required by law or by a competent authority.
Block C · Specific conditions for Contacts (persons who interact with Sofía)
13. Nature of the relationship with Contacts
When a natural person (Contact) interacts with Sofía via WhatsApp or another channel, that interaction takes place within the framework of the existing or potential commercial relationship between the Contact and the real estate agency or professional (Client) using the Platform. Bricktech has no direct contractual relationship with the Contact, which is deemed established with the corresponding Client, without prejudice to the information and data protection obligations incumbent on Bricktech under applicable law and as set out in this Block C.
14. Information on the use of artificial intelligence
- Sofía identifies itself to the Contact as an automated conversational assistant / artificial intelligence, without causing confusion as to its non-human nature, in accordance with the applicable algorithmic transparency requirements (including, where applicable, Regulation (EU) 2024/1689 laying down harmonised rules on artificial intelligence — the AI Act — with regard to AI systems that interact with natural persons).
- The Contact has the right to request, at any point in the conversation, to be attended to by a person from the Client’s team, subject to the response times that apply according to that Client’s availability.
- Sofía’s responses are informative and indicative in nature and do not constitute a binding offer, real estate, financial or legal advice, or any contractual commitment on the part of the Client or of Bricktech, unless expressly stated so by a human agent of the Client.
15. Protection of Contacts’ personal data
The personal data provided by the Contact through WhatsApp or any other channel integrated into the Platform shall be processed as follows:
- Controller: as a general rule, the real estate agency or professional (Client) with whom the Contact has or intends to have a commercial relationship, which must identify itself to the Contact and inform them of their rights in accordance with Articles 13 and 14 of the GDPR and with Organic Law 3/2018 on the Protection of Personal Data and Guarantee of Digital Rights (LOPDGDD).
- Role of Bricktech: Bricktech processes this data, as a general rule, as processor on behalf of the Client, as described in Clause 9, providing the technological support (Sofía and Bricktech Intelligence) necessary for handling and qualifying the Contact.
- Purpose: automated handling and qualification of the Contact’s enquiry or request, assignment of an indicative interest/intent score, and management of commercial follow-up by the Client.
- Legal basis: as a general rule, the performance of a pre-contractual or contractual relationship between the Contact and the Client (Article 6(1)(b) GDPR) and/or the Client’s legitimate interest in managing its commercial activity (Article 6(1)(f) GDPR), without prejudice to the Client, as controller, having to determine and document the specific legal basis applicable to each processing operation.
- Rights: the Contact may exercise their rights of access, rectification, erasure, objection, restriction of processing and portability by contacting directly the Client (real estate agency) with which they have interacted. If the Contact contacts Bricktech, Bricktech shall redirect them to the corresponding Client as controller, without prejudice to providing such cooperation as may be appropriate under the DPA entered into with that Client.
- Automated decisions: the score assigned by Bricktech Intelligence is not used, on its own, to make decisions with significant legal effects on the Contact without human intervention; it is a tool supporting the commercial work of the Client’s human team.
16. Commercial communications
The commercial communications that the Contact may receive through WhatsApp or other channels are the responsibility of the Client, which must have the corresponding consent or legal basis under the LSSI-CE and the GDPR/LOPDGDD. The Contact may object to or unsubscribe from such communications by contacting the corresponding Client or by using the unsubscribe mechanisms that the conversation with Sofía itself may provide.
Block D · Final common provisions
17. Amendment of the Terms
Bricktech may amend these Terms to adapt them to legislative, case-law, technical or business-model developments. Amendments shall be notified reasonably in advance through the Website, the Platform or by email, and shall be deemed accepted by the Client or the Contact if they continue to use the Website or the Platform after the period indicated in the notification has elapsed without expressing their objection, without prejudice to the Client’s right to terminate its contract if the amendment substantially affects essential conditions.
18. Assignment
The Client may not assign or transfer its rights and obligations under these Terms without Bricktech’s prior written consent. Bricktech may assign its contractual position in the context of corporate restructuring, merger, acquisition or total or partial sale of its business, of which the Client shall be duly notified.
19. Partial invalidity
If any clause of these Terms is declared null or unenforceable by a final decision of a competent authority, the remaining clauses shall remain valid and applicable, and the affected clause shall be replaced by a valid one that reflects, as far as possible, the original intention of the parties.
20. Relationship with the Legal Notice, the Privacy Policy and the Cookie Policy
These Terms are supplemented by the Website’s Legal Notice (which sets out Bricktech’s identification details in accordance with Article 10 of the LSSI-CE) and by the Privacy Policy and the Cookie Policy published on the Website, which govern in greater detail the processing of users’ personal data. In the event of conflict on data protection matters, the provisions of the Privacy Policy and, where applicable, of the DPA entered into with each Client shall prevail.
21. Governing law and jurisdiction
These Terms are governed by Spanish law.
For the resolution of any dispute arising from the interpretation or performance of these Terms in the relationship with Clients (a relationship between businesses/professionals), the parties submit, expressly waiving any other jurisdiction that may correspond to them, to the Courts and Tribunals of the city of Madrid (Spain), unless a mandatory rule provides otherwise.
In the case of Contacts who may qualify as consumers in their relationship with the Client (not with Bricktech), the mandatory jurisdiction rules and consumer and user protection legislation that may apply shall be respected in all cases, including access to the European Union online dispute resolution platform where appropriate.
